Terms of Service

These Terms of Service govern your access to and use of MikroPay, a billing and network management platform operated by MikroPay Solutions.

By creating an account, accessing, or using MikroPay, you agree to be bound by these Terms.

About MikroPay

MikroPay is a billing and network management platform designed to help internet service providers, network operators, resellers, and businesses manage customers, subscriptions, billing, payments, network services, and related operations.

MikroPay may provide functionality including customer management, subscription management, payment tracking, M-Pesa integrations, PPPoE and RADIUS management, MikroTik router management, network monitoring, notifications, and reporting.

Eligibility & Accounts

You must provide accurate and complete information when creating and maintaining a MikroPay account.

You are responsible for maintaining the confidentiality of your account credentials and for ensuring that only authorized individuals have access to your account.

You must notify MikroPay Solutions promptly if you believe that your account has been compromised or accessed without authorization.

Acceptable Use

You may use MikroPay only for lawful business and operational purposes.

You agree not to:

  • Use MikroPay for unlawful activities.
  • Attempt to gain unauthorized access to MikroPay or its infrastructure.
  • Circumvent authentication or security controls.
  • Introduce malicious software, code, or other harmful material.
  • Intentionally overload, disrupt, or interfere with the platform.
  • Reverse engineer or attempt to extract proprietary source code, except where permitted by applicable law.
  • Use MikroPay to facilitate fraud, unauthorized access, or abuse of network services.

Customer Responsibilities

You are responsible for information and configurations entered into MikroPay, including customer information, subscription details, pricing, billing information, network credentials, router configurations, RADIUS settings, PPPoE credentials, and payment-related information.

You are responsible for ensuring that your use of MikroPay complies with applicable laws, regulations, contractual obligations, and the rights of your customers.

Customer Data & Privacy

MikroPay customers may use the platform to store and process information relating to their own customers.

When you use MikroPay to manage customer information, you are responsible for ensuring that you have an appropriate legal basis and any required permissions for collecting and processing that information.

Our handling of personal information is described in our Privacy Policy.

Payments & Billing

MikroPay may provide functionality for recording, processing, or reconciling payments through supported payment providers, including M-Pesa.

Payment processing may involve third-party providers and may be subject to their own terms and conditions.

MikroPay Solutions is not responsible for failures, delays, reversals, outages, or errors caused solely by third-party payment providers, telecommunications networks, banks, mobile-money providers, or other external systems.

Subscriptions & Fees

Some MikroPay features may require a paid subscription. Where applicable, subscription fees and billing periods will be presented before or during subscription.

You are responsible for providing accurate billing information and paying applicable charges when they become due.

Failure to pay applicable charges may result in suspension or termination of paid functionality.

Pricing, plans, and available features may change from time to time. Applicable taxes, government charges, transaction fees, or third-party charges may also apply.

MikroTik & Network Configuration

MikroPay may provide tools for configuring, provisioning, monitoring, or managing MikroTik routers and network services.

You acknowledge that:

  • You must have authorization to manage any router or network device connected to MikroPay.
  • You are responsible for maintaining appropriate backups of important router configurations.
  • You are responsible for verifying configurations before applying them to production equipment.
  • Network configuration changes may affect connectivity or service availability.

MikroPay Solutions is not responsible for outages caused by incorrect configurations, unsupported hardware, third-party firmware, network failures, or changes made outside MikroPay.

Service Availability

We aim to provide reliable and secure access to MikroPay, but we do not guarantee that the service will always be available, uninterrupted, or completely error-free.

Availability may be affected by scheduled or emergency maintenance, internet connectivity, cloud infrastructure, telecommunications providers, payment providers, third-party services, hardware failures, cybersecurity incidents, or events beyond our reasonable control.

Third-Party Services

MikroPay may integrate with or rely on third-party services, including payment providers, mobile-money services, cloud infrastructure, communications providers, networking services, and monitoring services.

Third-party services are subject to their own terms and policies. MikroPay Solutions does not control third-party systems and cannot guarantee their availability, accuracy, security, or performance.

Intellectual Property

MikroPay and its underlying software, design, branding, documentation, interfaces, features, and other proprietary materials are owned by or licensed to MikroPay Solutions unless otherwise stated.

Your use of MikroPay does not transfer ownership of the platform or its intellectual property to you.

You may not copy, reproduce, distribute, modify, sell, sublicense, or commercially exploit proprietary components of MikroPay without prior written authorization, except where permitted by applicable law.

You retain ownership of information and content that you legitimately provide to MikroPay.

Suspension & Termination

We may suspend or terminate access to MikroPay where reasonably necessary, including when:

  • You materially breach these Terms.
  • Your account is used for unlawful or abusive activity.
  • Your account presents a security risk.
  • Applicable fees remain unpaid.
  • You attempt to compromise or interfere with the platform.

Where reasonably possible, we may provide notice before suspension or termination.

You may stop using MikroPay at any time, subject to any outstanding contractual or payment obligations.

Effect of Termination

Following termination, your access to MikroPay may be disabled.

Subject to applicable legal, contractual, and retention requirements, we may delete or anonymize information associated with your account after termination.

You are responsible for exporting or obtaining information you require before terminating your account where export functionality is available.

Disclaimer

MikroPay is provided on an “as available” basis.

To the maximum extent permitted by applicable law, MikroPay Solutions does not warrant that the service will always be uninterrupted, error-free, or suitable for every particular business requirement.

You are responsible for evaluating whether MikroPay is suitable for your operational requirements.

Limitation of Liability

To the maximum extent permitted by applicable law, MikroPay Solutions will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use MikroPay.

This may include losses resulting from:

  • Loss of business, revenue, or profits.
  • Loss of data.
  • Network outages.
  • Third-party service failures.
  • Payment-provider failures.
  • Unauthorized access resulting from compromised user credentials.
  • Incorrect customer or router configuration.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold MikroPay Solutions, its officers, employees, and service providers harmless from claims, losses, liabilities, damages, and reasonable expenses arising from your misuse of MikroPay, violation of these Terms, violation of applicable law, unauthorized use of third-party systems, or violation of another person's rights.

Confidentiality

You may receive confidential information relating to MikroPay Solutions, its technology, systems, or business operations.

You agree not to disclose confidential information to unauthorized third parties except where required by law or where disclosure is necessary to use the service and the recipient is appropriately bound by confidentiality obligations.

Changes to These Terms

We may modify, add, or remove features from MikroPay from time to time.

We may also update these Terms to reflect changes to the service, business operations, technology, or applicable legal requirements.

Where material changes are made, we may provide reasonable notice through the platform or website. The updated Terms will include a revised effective date.

Governing Law

These Terms are governed by the laws of the Republic of Kenya, unless applicable law requires otherwise.

Any dispute arising from these Terms or your use of MikroPay will be subject to the applicable courts and dispute-resolution mechanisms of Kenya.
